Biography

William V. Fogg is a partner in Cravath’s Corporate Department and serves as Co-Head of the Firm’s Financing Practice. His practice focuses on representing companies and major investment banks in public and private capital markets transactions, as well as on corporate governance, general corporate and disclosure matters. The Financial Times featured Mr. Fogg’s work on behalf of Cincinnati Bell in converting its data center into a “first-of-its-kind” REIT and its subsequent carve-out IPO of CyrusOne as one of the most innovative deals of the year in its U.S. Innovative Lawyers 2013 special report.

Mr. Fogg has been repeatedly cited as one of the country’s leading capital markets practitioners by numerous professional publications, including Chambers USA, Chambers Global, The Legal 500 US, IFLR1000 and The Best Lawyers in America. His corporate clients have included Alliant Energy, Burlington Northern Santa Fe, Cincinnati Bell, CyrusOne, Evolent Health, Home Depot, Jones Apparel Group, Martin Marietta Materials, Mylan, TerraForm Power, UAL and Wisconsin Power and Light Company.

Mr. Fogg’s notable transactions include:

* Completed the largest follow-on equity offering in history at the time ($12.6 billion common stock offering of Wells Fargo in connection with its acquisition of Wachovia), and the subsequent $8.6 billion common stock offering of Wells Fargo undertaken in response to the U.S. Treasury Department’s Supervisory Capital Assessment Program

* Completed the largest high-yield offering in history at the time ($6 billion offering of high-yield notes by Freeport-McMoRan Copper & Gold)

* IPOs for American Water Works, Boot Barn, Cascal, CyrusOne, Dex Media, Evolent Health, Ferrari, GrafTech International, Green Dot, KPN, Premier, Replimune, Surgical Care Affiliates and WhiteWave Foods

Mr. Fogg serves on the Board of Trustees and the Executive Committee of The Williston Northampton School and is a member of the Board of Directors of The First Tee of Metropolitan New York.

Mr. Fogg was born in New York, New York. He received an A.B. magna cum laude from Brown University in 1988 and a J.D. from Columbia Law School in 1991, where he was a Harlan Fiske Stone Scholar and a Managing Editor of the Journal of Law and Social Problems. Mr. Fogg joined Cravath in 1991 and became a partner in 1999. He served as the Corporate Hiring Partner from 2007 to 2010, as Corporate Managing Partner from 2012 to 2014 and as Head of the Corporate Department from 2014 to 2016.
