Biography

Tom Briggs' practice focuses on commercial transactions where intellectual property, technology, information, and knowledge or other intangible assets are a significant factor. He has particular experience in licenses, joint development, strategic alliances, joint ventures, mergers, acquisitions, divestitures, and settlement agreements. Tom is co-leader of the Licensing & Technology Transactions services of the Firm's IP Practice.

Tom negotiates and drafts agreements involving the transfer, use, and sharing of intellectual property, including agreements relating to research, development, licensing, clinical trials, confidentiality, noncompetition, consulting, assignment, supply, manufacturing, outsourcing, sales agency, strategic alliance, joint venture, and information technology. He also oversees and evaluates due diligence relating to the acquisition or licensing of technology and intellectual property. Tom has developed particularly effective methods for assisting clients in establishing formal, global intellectual property management programs; he also audits clients' existing property management programs and conducts seminars on IP and technology transaction subjects in public and private settings, including for legal education credits.

Tom serves clients in many industries, including pharmaceuticals, biotechnology, food, renewable energy, semiconductors, software, steel, and chemicals. His clients include Abbott Labs, Athersys, Attachmate, Avanir Pharma, Bayer, Bunge, Celgene, Genomatica, Harris, Koch Industries, Kyocera, Merial, Nielsen, and P&G.

In helping clients with their technology transactions, Tom draws upon a rare combination of work experiences. He is a patent lawyer who has litigated cases involving infringement, misappropriation, and noncompetition and has prosecuted patent and trademark registrations. He has served as chief intellectual property officer and assistant general counsel of M.A. Hanna Company (now PolyOne Corporation). He also spent ten years as a practicing chemical engineer and plant supervisor with Union Carbide/Praxair before his career as a lawyer.

Jones Day advised Tokyo Electron Limited, a leading manufacturer of semiconductor manufacturing equipment, in connection with its acquisition of FSI International, Inc., a leading provider of cleaning and surface preparation equipment, for $252.5 million.

FirstMerit to acquire Citizens Republic Bancorp for $912 million
Jones Day is advising FirstMerit Corporation in its stock-for-stock acquisition of Citizens Republic Bancorp for approximately $912 million.

Procter & Gamble sells perpetual licensing of Braun brand for use in household small appliances to De'Longhi
Jones Day advised The Procter & Gamble Company in the sale of its household appliances business conducted under the "Braun" trademark to De'Longhi, S.p.A. for a total consideration of €140 million ($183.7 million) and an earnout opportunity of an additional €74 million ($97 million).

Bayer CropScience acquires biological pest management company AgraQuest for $425 million (€340 million)
Jones Day advised Bayer CropScience in its acquisition of AgraQuest, Inc. and its Mexican subsidiary, AgraQuest de Mexico S.A. de C.V. for $425 million (€340 million) plus milestone payments.

Court Square Capital completes sale of Mosaic Sales Solutions to Acosta
Jones Day advised Court Square Capital Partners in connection with its sale of Mosaic Sales Solutions, a provider of merchandising, direct and assisted selling, product knowledge transfer, and experiential marketing services, to Acosta, Inc., a portfolio company of Thomas H. Lee Partners.

LLR Partners and Wellpoint jointly acquire substantially all assets of Physicians Immediate Care
Jones Day jointly advised LLR Partners and Wellpoint Inc. in connection with their acquisition of substantially all of the assets of Physicians Immediate Care LLC, an urgent care and occupational medicine services provider.

Jones Day advised BenefitMall, one of the nation's leading providers of products, services, and tools to employee benefits insurance brokers, in connection with its sale to an investor group led by Austin Ventures.

Bunge purchases assets of MCN BioProducts
Jones Day represented Bunge Global Innovation in its acquisition of substantially all of the assets of Canadian technology company MCN Bioproducts Inc.

Bunge forms JV in Brazil to make oil from sugar cane
Jones Day represented in the formation of a joint venture with Solazyme, Inc. to build, own and operate a commercial-scale renewable oils production facility adjacent to Bunge’s Moema sugarcane mill in Brazil.

Jones Day represented Avanir Pharmaceuticals, Inc. in its worldwide, exclusive license from Concert Pharmaceuticals to develop and commercialize deuterium-modified dextromethorphan for the potential treatment of neurological and psychiatric disorders.

Jones Day advised Alcatel-Lucent in its sale of its Genesys business to Permira for US$1.5 billion.

PolyOne to acquire ColorMatrix Group for $486 million
Jones Day is advising PolyOne Corporation, a premier global provider of specialized polymer materials, services and solutions, in its acquisition of ColorMatrix Group, Inc., the leading global innovator in liquid colorants, additives and fluoropolymers, for $486 million.

Texas Instruments acquires National Semiconductor for $6.5 billion
Jones Day advised Texas Instruments Incorporated, a global analog and digital semiconductor IC design and manufacturing company, in connection with its $6.5 billion acquisition and related financing of National Semiconductor Corporation, a semiconductor manufacturer that specializes in analog devices and subsystems.

Bunge and Solazyme establish framework for joint venture in Brazil to make oil from sugar cane juice and algae
Jones Day assisted Bunge North America, Inc. in the negotiation and preparation of a Joint Venture Framework Agreement with Solazyme related to the formation of a joint venture that would focus on the production of triglyceride oils in Brazil using sugar cane juice feedstock provided by Bunge and algae strains provided by Solazyme.
