Biography

Thao H.V. Do specializes in investment and financing transactions, including private equity, venture capital, mergers and acquisitions and private investments in public companies, in a broad range of industries in the U.S. and other countries. She represents hedge funds, private equity funds, investment banks, insurance companies and other financial institutions. Ms. Do works with clients throughout the life cycle of their investments in companies: advising them on their rights and duties as investors, including with respect to board appointees; negotiating follow-on investments; evaluating proposed investments by new investors; effecting divestitures through private sales or the public markets; and providing guidance on restructuring or recapitalization of companies.

Representative matters include:

* Representing a financial institution in its acquisition of a hedge fund group;
* Representing a hedge fund in its sale of a portfolio company in the pharmacy automation business;
* Representing the lead investor in the formation and capitalization of a finance company that was later taken public;
* Representing investors in the formation and capitalization of an alternative asset management platform;
* Representing an investor in the purchase of a medical products company;
* Representing a hedge fund with its equity investments in mining, pharma, media and retail companies in Brazil;
* Representing a hedge fund with its loans to various real estate, mining, pharma, media and retail companies in Brazil;
* Representing the lead investor in the formation and capitalization of a Brazilian start-up large-scale producer of sugarcane-based ethanol;
* Representing a hedge fund with its equity investments in pharma, media and retail companies in Peru;
* Representing a hedge fund with its loans to various pharma, media and retail companies in Peru; and
* Representing the lead investor in the capitalization of a Russian oilfield services company.

Ms. Do serves as Co-Chair of RK&O’s Diversity Committee. Ms. Do is admitted to practice in New York.

The Women's Refugee Commission was established in 1989 and is legally part of the International Rescue Committee (IRC). The Women's Refugee Commission receives no direct financial support from the IRC. Through research and fact-finding field missions, the organization identifies critical problems that affect displaced women, children and young people, including gaps in lifesaving reproductive health care, lack of dignified livelihoods for refugees and, in the U.S., the treatment of asylum-seekers. The Women's Refugee Commission documents best practices and proposes solutions, and develops innovative tools to improve the way humanitarian assistance is delivered in refugee settings.
