STEVEN M. BIERMAN, a partner since 1986, is a member of the firm’s Executive Committee, co-head of Sidley’s approximately 100-lawyer New York litigation department, and a global coordinator of the firm-wide complex commercial litigation team. His practice emphasizes litigation asserting business, securities, and consumer fraud, claims relating to mergers and acquisitions, RICO issues, and complex commercial disputes. Steve litigates and tries cases in federal and state courts and in domestic and international arbitrations.

Steve’s shareholder class action and derivative litigation experience has involved alleged violations of the Securities Act of 1933 and the Securities Exchange Act of 1934, and alleged breaches of corporate fiduciary duties and other corporate governance issues. His diverse complex commercial litigation experience includes representation of U.S. and foreign companies in trials and arbitrations involving alleged breach of contractual obligations, representations and warranties, the purchase and sale of businesses, post-closing balance sheet disputes, and fraud and other business torts.

Representative engagements include:
Representation of Duke Energy Corp. and certain directors and officers in consolidated securities class actions and multiple shareholder derivative suits arising from the merger of Duke and Progress Energy and subsequent replacement of the CEO of the merged company. Earlier representation of Duke Energy in state and federal shareholder derivative suits challenging the then-proposed merger.
Representation of Sea Containers Ltd., a diversified sea and rail transportation and container company, and senior executives against shareholder claims in consolidated lawsuits asserting securities fraud, resulting in dismissal and affirmance on appeal.
Representation of Woori Bank, South Korea’s largest commercial bank, in multiple suits asserting securities, RICO, and common law fraud claims and seeking $1.2 billion damages arising from banking transactions allegedly misrepresented to participants in stock-for-stock mergers, obtaining dismissal in the District Court and affirmance by the Second Circuit.
Representation of Deloitte LLC in the successful defense of securities class actions by shareholders of Comverse Technology and related shareholder derivative suits asserting breach of fiduciary duties and aiding and abetting same.
Representation of Citigroup Inc. in the successful defense of shareholder derivative actions asserting breach of fiduciary duties in connection with executive compensation.
Representation of Citigroup Inc. in the successful defense of shareholder derivative actions asserting breach of fiduciary duties in connection with mortgage practices.
Representation of New Power Holdings, an energy provider, and senior executives against shareholder claims in consolidated suits asserting securities law violations arising from the company’s initial public offering.
Representation of Duke Energy Corp. and directors in the successful defense of shareholder derivative claims for alleged breach of fiduciary duties in connection with company financing transactions.
Representation of the Superintendent of Financial Services of the State of New York, as special litigation counsel, in action seeking to liquidate Executive Life Insurance Company of New York, which had been in rehabilitation for two decades, resulting in order of liquidation following a trial, and affirmance on appeal.
Representation of Vietnamese and Canadian clients in an arbitration under the aegis of the International Chamber of Commerce, in the successful defense against claims seeking $300 million in damages for alleged breaches of long-term supply agreements and associated alleged torts, in which the arbitral tribunal awarded the Firm’s clients $3.1 million in attorneys’ fees and costs following trial.
Representation of Smurfit Stone Container Corporation, a paperboard and container manufacturer, in the successful defense against noteholders’ claims for $220 million damages arising under foreign unlimited liability company law.
Representation of AT&T Corp. in the successful defense against claims seeking $180 million for alleged antitrust tying, breach of contract and tortious interference with contract, in which the court awarded the client $2 million in attorneys’ fees following a jury trial.
Representation of clients in multiple confidential arbitrations asserting claims involving purchase and sale of businesses, post-closing balance sheet adjustments, representations and warranties, and insurance contracts.
