SCOTT R. WILLIAMS is a partner in the Corporate and Securities Practice Group in the Chicago office. Mr. Williams represents both buyers and sellers in public and private acquisitions.

Recently he has represented:

Deutsche Bank in the reorganization of Station Casinos.
Sara Lee Corporation in several transactions, including its sale of its U.S. Fresh Bakery Business, its sale of its Spanish Fresh Bakery Business and its recent acquisition of Aidells Sausage Company.
Walgreen Co. in its $409 million acquisition of drugstore.com.
Discover in its $600 million acquisition of The Student Loan Corporation.
Exelon Corporation in its $14.2 billion attempted acquisition of NRG Energy, Inc., including the related proxy contest.
R.R. Donnelley & Sons Company in several transactions, including its acquisition of Helium, Inc., its $122 million acquisition of Pro Line Printing, Inc. and its $122 million acquisition of Cardinal Brands, Inc.
SXC Healthcare Solutions Corp. in its $143 million acquisition of National Medical Health Card Systems, Inc.
Discover in its $15 billion spin-off from Morgan Stanley.
First Data Corporation in its $29 billion sale to KKR.
Equity Office Properties Trust in its $39 billion sale to The Blackstone Group.
First Data Corporation in its $15 billion spin-off of The Western Union Company.
Alberto-Culver Company in its “sponsored spin-off” of its Sally Beauty/BSG Distribution Business in which Alberto-Culver separated from its Sally/BSG Distribution Business, Sally/BSG paid a $25 per share dividend to Alberto-Culver’s stockholders and an investment vehicle formed by a fund managed by Clayton, Dubilier & Rice invested $575 million in Sally/BSG, reflecting a value for Sally/BSG of approximately $3 billion.
Sara Lee Corporation in the $550 million sale of its international Direct Selling Business to Tupperware Brands Corporation.
First Data Corporation in the restructuring of its merchant processing joint ventures with JPMorgan Chase Bank, National Association and Bank One, National Association and the subsequent dissolution of the combined joint venture.
Exelon Corporation in its attempted $26 billion acquisition of Public Service Enterprise Group Incorporated.
Tellabs, Inc. in its $1.5 billion acquisition of Advanced Fibre Communications, Inc.

Mr. Williams also represents issuers and underwriters in public and private offerings, including recent offerings by Aftermarket Technology Corp., Sara Lee Corporation, S.C. Johnson & Son, Inc., Starwood Hotels & Resorts Worldwide, Inc. and The Western Union Company. He has experience representing debtors and creditors in reorganizations both in and out of bankruptcy, including representing Budget Group Inc. in its 363 sale out of bankruptcy and General Electric in the reorganization of Malden Mills Inc. Mr. Williams also advises companies on governance and disclosure matters.

Mr. Williams joined the firm in 2001. Prior to joining the firm, Mr. Williams served as a law clerk to the Honorable Cornelia Kennedy of the United States Court of Appeals for the Sixth Circuit during the 2000-2001 term. Mr. Williams was graduated from Notre Dame Law School in 2000. While at Notre Dame, Mr. Williams served as Articles Editor for the Notre Dame Law Review.
