Robin L. Struve

Robin Struve advises the firm's clients with regard to the application of US tax, ERISA, securities and other laws to employee benefits plans, arrangements and executive compensation matters.

Ms. Struve has substantial experience in employee benefits and executive compensation issues in corporate transactions, including plan spin-offs, mergers, terminations, multi-employer plan withdrawals, COBRA, severance, golden parachutes and the effects of such transactions on stock options and other equity based compensation, as well as fringe and other benefits. This experience includes advising buyers and sellers in mergers and acquisitions and debtors and creditors on employee benefits issues in lending transactions, as well as bankruptcy and reorganizations.

A substantial portion of Ms. Struve's practice includes advising both public and private companies regarding executive compensation matters, legal compliance of benefits plans, including 401(k) plans, ESOPs, pension plans, cash balance plans, profit-sharing plans, cafeteria plans, welfare plans, non-qualified deferred compensation plans and equity based compensation plans (including plans for non-corporate entities such as LLCs and partnerships).

Ms. Struve also advises clients regarding fiduciary issues, reporting and disclosure obligations, plan asset and investment issues, prohibited transactions, and the IRS and DOL voluntary compliance programs.

Ms. Struve is a member of the American Bar Association. She is the author of several articles on ESOPs, and the co-author of "Beyond Stock Options-Phantom Stock, Restricted Stock, Stock Appreciation Rights and Other Equity Alternatives," published by the National Center for Employee Ownership, and the "Compensating the Internationally Mobile Executive" chapter in International Labor and Employment Laws, Fourth Edition, vol. IA, published by BNA Bloomberg. She also is a frequent speaker on executive compensation and other employee benefits topics.
