Biography

Robert Heller has extensive experience with structuring and negotiating domestic and international M&A transactions and strategic joint ventures for both corporate and investment fund clients. In addition to advising private equity funds in connection with their M&A activity, he also represents private equity sponsors in connection with the formation of investment funds and related matters.

Robert also provides tax advice to clients on internal restructuring transactions with a specific focus on rationalizing corporate structures in advance of, or following, large corporate events such as acquisitions or dispositions. He often advises issuers and underwriters in both domestic and foreign capital market transactions. His client experience spans a broad range of industries, including life sciences, financial institutions, sports and media.

Prior to joining Winston & Strawn, Robert's representative experience included:

* Represented a private equity firm in the simultaneous acquisition of three portfolio companies of another fund
* Represented a private individual in connection with a $2 billion acquisition of a West Coast NBA team
* Represented a private equity fund in its strategic investment in another fund
* Represented a publicly traded pharmaceutical company in a $2.1 billion acquisition
* Regularly represent pharmaceutical clients in connection with formation of collaborations to develop and commercialize pharmaceutical products.

Robert received a B.A. from the University of Pennsylvania in 1995 and a J.D., summa cum laude, from the University of Pennsylvania Law School in 1998, where he achieved Order of the Coif, the Peter McCall Prize for graduating first in his class, The Bernard A. Chertcoff Prize for Taxation, and the John H. Maurer Memorial Prize for Criminal Law. He also served as Articles Editor of the Law Review.
