Biography

Phil Berg helps healthcare providers and companies navigate transactions, compliance issues and operational contracts. He has significant experience working with physician practice management companies, hospitals, ambulatory surgery centers, joint ventures, medical practices and other healthcare companies. Phil has represented some of the largest management services organization (MSO) companies in the country, as well as start-ups, on issues including acquisitions, operational issues and complex regulatory analysis.

His practice involves:

* Practice Management Companies – Providing corporate practice of medicine analysis, and other regulatory and corporate guidance, for practice management companies in multiple industries including dermatology, oncology, behavioral health, hospitalist and dental services.
* Transactions – Representing companies in acquisitions of physician practices by national management companies, mergers of hospital companies, and joint ventures with physicians and healthcare companies.
* Complex Regulatory Analysis – Providing analysis of Federal Stark law issues, Federal Anti-Kickback Statute issues, state laws, licensure and other healthcare issues that may impact deals, contracts and compliance.
* Operational Contracts – Drafting physician employment agreements, laboratory agreements and complex multi-facility service line agreements with national vendors.

The Vanderbilt Law Review is published six times a year (in January, March, April, May, October, and November) by the Vanderbilt Law Review, Vanderbilt University Law School, 131 21st Av. S., Nashville, TN 37203. Law Review Member Selection: The Law Review selects new members in the spring of their first year. Students interested in Law Review membership are required to compete in a case comment competition following their spring final exams. Members are selected based on a combination of their case comment score and their first year grade point average. The Law Review selects thirty-two first year students annually. [Information on the Joint Case Competition] Transfer students may also become members. The Law Review conducts a transfer competition in the fall. Second year students may also write on to the Law Review. The write-on competition is conducted in the spring. [Information on the 2L Write-On Competition] Law Review Member Duties: Second year Law Review members have two principal duties. Second year students are required to assist the Managing Department in cite-checking professional and student pieces. Thorough and accurate completion of this duty is a requirement for membership. The Law Review also requires all second year members to write a student note. The note may be on any original American jurisprudential topic. Thoughtful, well-written, and innovative notes will be published by the Law Review. Third year members have the opportunity to serve on theLaw Review’s editorial board. Editorial positions are chosen in the spring of a member’s second year.
