Biography

Neill is the office managing partner for the Chicago office and an Industry Group Leader for Private Equity. Focusing on private equity buyouts and strategic M&A, Neill has helped steer clients through complex deals ranging in size from tens of millions to more than a billion dollars. Neill’s global client base includes private equity sponsors and public and private companies across various industries, such as health care, life sciences, financial services and manufacturing.

Neill offers clients rare insight into the dealmaking process. In addition to his legal experience structuring, negotiating and closing complex deals, Neill has firsthand transactional experience from his work as an investment banker with the Financial Sponsors Group at Morgan Stanley. He has evaluated acquisitions from a financial perspective, developed financial models, arranged equity and debt financing, and worked on a number of transactions (including IPOs, LBOs and other M&A) on the finance side. Neill’s understanding of the business side of a deal allows him to anticipate his clients’ needs throughout the life cycle of a transaction and take a pragmatic approach in complex negotiations.

Neill’s earlier experience as a securities litigator also benefits clients with corporate governance issues, as he can help identify and analyze the types of securities issues that often lead to litigation in this era of shareholder activism and an activist plaintiffs’ bar. Early in his career, Neill was a member of litigation teams handling high-profile securities fraud matters, including a number of actions arising from the bankruptcy of Enron.

A graduate of the University of Notre Dame and the University of Michigan Law School, Neill has lived and worked in the Midwest for the last 15 years, and he possesses an in-depth knowledge of the region’s private equity and venture capital communities.

The University of Michigan, founded in 1817, celebrates a long and distinguished history. It was in 1787 that the Northwest Territorial Ordinance provided public land for this and other Midwestern universities and established a tradition of respect for excellence in higher education. Three Native American nations—the Ojibwa (Chippewa), Odawa (Ottawa), and Bodewadini (Potawatomi)—subsequently granted certain lands for use of the University of Michigan and by the end of the 19th century, Michigan was the largest and most generously supported public university in America and already a leader in graduate education. The University of Michigan Law School, one of the oldest law schools in the nation, was founded in 1859. But unlike other highly selective law schools established in that era, admission was never restricted to the privileged. When Gabriel Hargo graduated from the Law School in 1870, Michigan—then the largest law school in the country—became the second American university to confer a law degree on an African American. That same year, Michigan was the first major law school to admit a woman, and in 1871, graduate Sarah Killgore became the first woman with a law degree in the nation to be admitted to the bar; by 1890, Michigan had graduated more women than any other law school. That commitment to access and diversity joined an equally powerful commitment to excellence, which continues to this day.
