Biography

Natasha Gianvecchio is a partner in the Washington, D.C. office and a member of the Energy Regulatory & Markets Practice and the Project Development & Finance Practice. Ms. Gianvecchio has been consistently recommended by The Legal 500 US and recognized by Chambers USA as a leading energy attorney. In 2015, she was named as a “Top Energy Attorney Under 40” by Law360. She is a member of the Energy Bar Association.

Ms. Gianvecchio’s practice concentrates primarily on the regulatory and energy market developments that impact a variety of clients in the electric and natural gas industries in the United States, including independent power producers, power marketers, electric utilities, natural gas companies and financial institutions.

Her expertise encompasses a broad range of issues under the Federal Power Act, Energy Policy Act, Public Utility Holding Company Act, various other federal and state energy statutes, and regulations and regional energy market rules affecting the domestic energy industry.

Ms. Gianvecchio regularly represents energy industry clients on matters related to the following:

Development of, implementation of and compliance with Federal Energy Regulatory Commission (FERC) rules and regulations
Development of, implementation of and compliance with competitive wholesale energy market rules in the energy markets in New England (ISO-NE), New York (NYISO), the Mid-Atlantic (PJM), the Midwest (MISO), California (CAISO) and the Southwest (SPP)
Drafting and negotiation of project agreements in association with the development, restructuring and commercialization of energy facilities
Drafting and negotiation of energy trading and power sale agreements using bespoke agreements as well as standard electric, gas and financial hedging master agreements, including ISDA, EEI, WSPP and NAESB

Ms. Gianvecchio represents clients before the FERC and the Department of Energy (DOE) and has significant administrative litigation, settlement and enforcement experience. She also obtains approvals from the FERC for the following:

Mergers, acquisitions and reorganizations of energy companies and assets
Market-based rate authority
EWG & QF status

She advises lenders and investors on the regulatory risks associated with the financing and acquisition of debt and equity interests in electric and gas assets.

Drafting and negotiating power purchase agreements and renewable energy credit (REC) agreements for E.ON Climate & Renewables wind farms located in various markets, including PJM, ERCOT and Midwest ISO
Restructuring existing, and negotiating new, power sale, tolling and interconnection contracts for independent power producers, including Cogentrix’s Quachita, Richmond, Rocky Mount, Hopewell and Portsmouth projects
Assisting clients with respect to the development of market rules in the energy markets in New England (ISO-NE), New York (NYISO), the Mid-Atlantic (PJM), California (CAISO), the Southwest (SPP) and the Midwest (MISO)
Assisting clients, including Noble Environmental Power, EquiPower Resources, CPV and First Wind, with the development, regulatory permitting and interconnection of power projects throughout the United States
Assisting clients with the development of biomass power production facilities, including in connection with ReVenture Park, Charlotte, North Carolina’s first eco-industrial park
Drafting and negotiating solar energy purchase agreements, installation agreements and operation and maintenance agreements for WorldWater & Solar Technologies for solar projects across the United States, including in New Jersey, California, Texas and Colorado
Representation of power and gas purchasers and sellers in the purchase and sale of electricity, capacity and related products, using standard electric (EEI, WSPP, and ISDA Power Annex), gas (NAESB and ISDA Gas Annex) and financial swap (ISDA) master form implementation agreements
Drafting and negotiating energy and asset management agreements for energy managers and generator owners, including EquiPower Resources Management, LS Power and Entegra
Representation of Connecticut Natural Gas Corporation and The Southern Connecticut Gas Company in retail rate cases and merger proceedings before the Connecticut Department of Public Utility Control
