Biography

Monica Shilling is a partner in the Corporate Department and co-head of the firm's global Private Equity Group. She has a broad corporate and securities law practice that focuses on advising:

*investment banks and issuers in a variety of corporate finance transactions, including initial public offerings, other public offerings of debt or equity, private placements, corporate recapitalizations, consent solicitations and exchange offers;

*purchasers, sellers and financial advisors in public and private merger and acquisition transactions, including negotiated takeovers, leveraged buyouts, going private transactions, tender offers, joint ventures and spin-offs; and

*public and private companies on matters of general corporate law and corporate governance, securities law, SEC (including Sarbanes-Oxley) and NYSE/Nasdaq compliance.

Monica represents private equity funds and their portfolio companies, often in a full investment cycle, including acquisitions, financings and dispositions. She also advises companies on the establishment of business development companies (BDCs) and other private and public equity vehicles. Monica is among a small number of attorneys in the country who actively represent BDCs, including Ares Capital Corporation, one of the largest BDC with over $15 billion under management.

According to US Legal 500, clients comment that Monica "'impresses' clients who 'admit to being difficult to impress. She is one of the three or four best transactional lawyers with whom I have ever worked. Shilling has the total skill set: she has extremely high levels of intellectual capacity, legal knowledge, common sense, people skills and M&A transactional experience'."

Monica was honored by Chambers USA at its 2012 Women in Law Awards as the Up & Coming Corporate/M&A Lawyer of the Year and has also been recognized by the Daily Journal as one of the top 25 transactional women lawyers in California in its 2011 and 2014 Top Women Lawyers issues.

Monica is a frequent guest panelist at the Women's Private Equity Summit, most recently as the moderator of the panel “The Market in 2016: How GPs and LPs are Thinking about Deals and Exits” in March 2016, and on the panel “The Lending Game: Understanding the Importance of BDCs” in March 2015. Additionally, Monica has been a guest speaker at the Practising Law Institute's Corporate Compliance Workshop, including PLI's 2008 Corporate Compliance and Ethics Institute.

*IPOs and other public and private equity offerings (including PIPEs) by Ares Capital Corporation, Cherokee International Corporation, Jacor Communications, Inc. and Westwood One

*Public and private debt offerings by American Restaurant Group, AmeriQual Group, CNF Transportation, Harbor Freight, Jacor Communications, Key Plastics, Neways International, PETCO Animal Supplies, Inc., Phoenix Scientific, Sun Healthcare Group, Telemundo Communications Group and Wynn Resorts

*Acquisitions and dispositions by numerous private equity funds, including funds managed by Apollo Management, Ares Management, The Gores Group, Leonard Green, Oaktree, and Texas Pacific Group

*Ares Capital Corporation's acquisition of Allied Capital Corporation

*Multiple private investment funds managed by Ares Management in their investment in LyondellBasell Industries N.V. in connection with Lyondell's restructuring of $24.6 billion of indebtedness

*Liberty Media Corporation's and Sony Pictures Entertainment's leveraged acquisition of Telemundo Communications Group, Inc. and the subsequent $2.7 billion sale of Telemundo to NBC

*The Milestone Aviation Group, Limited in its up to $500 million financing transaction

*Wynn Resorts' strategic business alliance with Société des Bains de Mer et du Cercle des Étrangers à Monaco ("SBM"), a company that has the exclusive rights to operate casinos in the Principality of Monaco

*Sony Pictures Imageworks' majority equity investment in FrameFlow, an Indian visual effects and animation studio

*Several acquisitions and dispositions by Family Restaurants, including its merger with Koo Koo Roo and its disposition of a restaurant chain
