Jonathan Fenn

Jonathan is the Head of our Pensions and Employment practice. He specialises in employee share schemes and pensions work. He also advises on employment matters, particularly in relation to directors and senior management.

His work in relation to share schemes includes advising listed and unlisted companies on share awards and options, employee trusts and other bonus and employee incentive arrangements. He has wide experience of the share scheme aspects of corporate transactions, in particular public takeovers and IPOs, ranging from privatisations through to technology companies.

Jonathan’s work in relation to pensions includes the pensions aspects of corporate transactions, where he has had wide experience of dealing with the Pensions Regulator. He is also involved in general pensions advisory work for a number of substantial pension schemes and companies.

Recent highlights include advising:

Infinis, Stock Spirits Group, esure, Countrywide and Royal Mail on their respective IPOs
Investec Asset Management on agreement with its senior management to acquire a shareholding in that company
Manchester Airport Group on its acquisition of Stansted
Marine and General Mutual Life Assurance Society on sale of its new business franchise

Jonathan is listed as a leading individual in the 'Employee Share Schemes & Incentives' and 'Pensions' sections in Chambers UK, 2014 and in the 'Employee share schemes' and 'Pensions (non-contentious)' sections of The Legal 500, 2013. He is a member of the Executive Committee of the Share Plan Lawyers group and is also a member of the Association of Pension Lawyers and a contributor to 'Pensions Law and Practice with Precedents'.
