Jenny McClister's practice includes compliance counseling, litigation, and transactional work. She regularly assists clients on compliance matters ranging from waste disposal to air matters, as well as health and safety matters. Jenny often helps clients with conducting environmental audits and with self-disclosure under federal and state audit programs. She has also represented clients before state agencies in response to notices of violation.

Jenny assists Hogan Lovells' transactional practice by leading environmental diligence efforts, negotiating purchase and financing agreements, and advising on costs associated with identified environmental liabilities, including compliance and cleanup liabilities. Part of Jenny's transactional work involves direction of post-closing compliance with transaction-triggered obligations, in particular those pursuant to New Jersey's Industrial Site Recovery Act and the Connecticut Transfer Act.

Jenny has also advised clients on redevelopment projects with environmental issues, for example, soil and groundwater contamination, vapor intrusion concerns, and hazardous materials in building components. Jenny has authored several publications focused on environmental cleanup issues.

Prior to joining Hogan & Hartson, Jenny was an associate with a major regional firm and a Deputy District Attorney.

REPRESENTATIVE EXPERIENCE

Advising the second largest owner of community and neighborhood shopping centers in the U.S. on environmental matters, including contamination issues, compliance with voluntary cleanup requirements, responding to notices of violation, and tenant compliance with environmental lease obligations.
Represented a defense contractor in its acquisition of a division of Northrop Grumman, whose principal facility is located within a Superfund site; representation included leading environmental diligence, negotiating environmental provisions in the asset purchase agreement, and securing environmental insurance.
Represented numerous underwriters and issuers in public offerings of real estate investment trusts; representation included drafting environmental disclosures for offering documents and conducting environmental diligence.
Represented an international specialty metals company in connection with its discovery that its environmental manager had defrauded the company and illegally disposed of hazardous wastes over a two-year period; assisted the client in self-disclosing this matter to regulators, in complying with the requirements of EPA’s audit policy, and in remediating disposal areas.
Represented one of the nation’s largest medical laboratory companies in multiple enforcement actions regarding the federal and California Bloodborne Pathogens Standards.
