Biography

Corporate and Securities

Matt Owens is counsel in the Washington, DC office of Arnold & Porter LLP, where his practice focuses on advising clients on all aspects of mergers, acquisitions, and divestitures, from providing initial structuring and strategic advice, to drafting and negotiating all transaction documents. Mr. Owens has also represented clients in connection with private equity transactions, public and private securities offerings, corporate governance, and Securities and Exchange Commission compliance matters. Mr. Owens has served as ongoing corporate counsel for publicly traded and privately held companies, including various portfolio companies of private equity clients. Mr. Owens' clients operate in various industries, but he has particular experience in the healthcare, government contracting, and technology industries. He has represented these clients in numerous public and private mergers, acquisitions, and divestitures, and routinely represents and counsels clients on all aspects of corporate governance, capital raising efforts, securities compliance and risk management.

Mr. Owens has also served as ongoing corporate counsel for multiple pro bono clients of the firm, advising on various corporate and contractual issues on a daily basis.

Mr. Owens is a 2001 graduate of the Georgetown University Law Center, where he was a member of the Georgetown Law Journal.

CSX Corporation in the US$1.15 billion sale of its global port assets to Dubai Ports International and in the sale of The Greenbrier to Justice Family Group, LLC.
US Airways in its US$1.5 billion merger with America West and concurrent public equity offering and Rule 144A convertible note offering.
AOL in its acquisition by merger of Going, Inc., its acquisition by merger of Patch Media Corporation, its acquisition by merger of Lightningcast, Inc., its acquisition by merger of Third Screen Media, Inc., its stock purchase of Truveo, Inc., its stock purchase of Totekasche Holdings, Inc. d/b/a Userplane and its acquisition of GameDaily assets from Gigex, Inc.
Private equity fund DC Capital Partners and its portfolio company, National Interest Security Company (NISC), in the formation of NISC and several growth acquisitions, as well as the subsequent sale of NISC to IBM.
CML Healthcare (Canada) in its acquisition of diagnostic imaging facilities in the Northeast United States.
Private equity fund Arlington Capital Partners in the sale of its portfolio company TSI Group, Inc. to BE Aerospace, Inc.
Advertsing.com, Inc. in its formation of a joint venture with Mitsui & Co. Ltd. to provide online advertising services in Japan.
DFI International, a Washington, DC-based national security consulting firm, in its sale of DFI Corporate Services to The Avascent Group and its sale of DFI International and DFI Government Services to Detica Group plc, a UK-based IT consulting and security services provider listed on the London Stock Exchange.
Ruesch International in its sale to a private equity fund sponsored by Welsh Carson Anderson & Stowe.

The Georgetown Law Journal is headquartered at Georgetown University Law Center in Washington, D.C. and has published more than 500 issues since its inception, as well as the widely used Annual Review of Criminal Procedure (ARCP). The Journal is currently, and always has been, run by law students. Volume 1, Issue 1 was published in November 1912, under the supervision of Editor-in-Chief Eugene Quay. At the time, an annual subscription to the new Journal cost one dollar. The first article was titled “The 125th Anniversary of the Drafting of the Constitution of the United States.” In a three-paragraph statement of purpose, the editors of the new Journal proclaimed: When a school has gathered to itself some thousand potential lawyers, its efforts in the line of literary endeavor should find some proper expression; when a law school has reached the rank to which Georgetown has attained, it should be represented by a review that would take a place as high; and when we scan the names that make up the list of Georgetown’s faculty and the roster of her alumni, we can see no room for fear but that a journal representing her would take its proper rank.
