Practice Experience
Gregory Pryor is a partner in the Mergers and Acquisitions Practice Group of White & Case. Mr. Pryor has represented corporations, their stakeholders and private equity funds in a wide range of complex domestic and cross-border acquisitions, divestitures, joint ventures and leveraged buyouts. He has significant experience in the corporate aspects of in-court and out-of-court restructurings. In addition, he regularly counsels public and private corporations on general corporate and compliance matters, restructurings, corporate governance issues and public and private offerings of equity and debt securities.
Recent examples of his experience include representing:
Acergy S.A. on its combination with Oslo Stock Exchange-listed Subsea 7 Inc. to create a US$8.8 billion global leader in seabed-to-surface engineering and construction.
Hess Corporation in its acquisition of NYSE-AMEX listed American Oil & Gas, Inc. in a transaction valued at approximately US$458.4 million. He also previously advised Amerada Hess in its US$3.2 billion public acquisition of Triton Energy Limited.
Calpine Corporation, the largest publicly traded, independent wholesale power company in the United States, in its US$1.65 billion purchase of 4,490 megawatts (MW) of power generation assets from Pepco Holdings, Inc.
A consortium of institutional bondholders, including Deutsche Bank and Goldman Sachs, with respect to the Chapter 11 restructuring of Visteon Corporation, one of the world's largest suppliers of automotive parts.
Natural Products Group, LLC and certain of its subsidiaries, including Arbonne International, LLC and Levlad, LLC, leaders in the manufacture and distribution of personal care products under the Arbonne and Nature's Gate brands, in connection with their restructuring of approximately US$746 million in debt pursuant to a prepackaged Chapter 11 plan of reorganization.
Appaloosa Management and Harbinger Capital Partners as the leaders of a consortium of financial institutions including Goldman Sachs, Merrill Lynch and UBS Securities in their efforts to restructure U.S. auto parts maker Delphi Corporation.
The independent committee of the Board of Directors of Interpool, Inc., a leading provider of intermodal containers and chassis, in its consideration of a US$2.1 billion management-led buyout sponsored by Fortis Merchant Banking.
KBC Financial Products, a unit of KBC Bank, in connection with numerous acquisition and disposition transactions of financial services businesses.
ABB Ltd, one of the world's leading power and automation technology companies, in the sale of its Lummus global upstream petrochemical business for US$950 million and its US$2.2 billion public acquisition of Elsag Bailey Process Automation N.V.
SOURCECORP, Incorporated, a business process outsourcing and consulting firm, in its US$475 million sale to an affiliate of private equity firm Apollo Management, L.P.
Mr. Pryor regularly advises on private equity acquisitions, dispositions and recapitalizations for clients such as Alchemy Partners, Castle Harlan, First Atlantic, Harvest Partners and Quad-C. Representative transactions include his representation of Castle Harlan in its successful acquisition of Morton's Restaurant Group which included a proxy contest by a dissident shareholder challenging the deal and a competing bid for Morton's by Carl Icahn; Quad-C's public acquisition of Pulaski Furniture Corporation; and HIG's purchase of ChemDesign Corporation from Bayer.
Mr. Pryor regularly represents issuers and selling shareholders in numerous registered and unregistered securities and restructuring transactions. He represented Stolt Nielsen S.A. on its complex US$1.8 billion financial restructuring and also represented Acergy S.A. on the corporate and securities laws aspects of its financial restructuring.
