Greg's practice focuses on merger and acquisition antitrust issues, including Hart-Scott-Rodino Act compliance, Second Requests, and similar merger control statutes of other jurisdictions. His practice also includes corporate campaign finance counseling. Greg's clients include companies in a wide range of businesses, including manufacturing, agricultural, transportation, computer, defense, energy, and health care. Greg served as Trial Attorney for the Federal Trade Commission, Bureau of Competition, in Washington, DC from 1994 to 1997.
Relevant Experience
Extensive experience with Hart-Scott-Rodino Act compliance for complex transactions, including detailed knowledge of Federal Trade Commission and Department of Justice regulations and procedures.
Pre-merger counseling and preparation of planning strategies for managing filings and second requests, and coordination of responses to agency requests for additional information.
Coordinates merger control filing for multi-national mergers in jurisdictions including the EC, Canada, Latin America, Asia, and Africa.
Represented Chinese energy company in successfully obtaining CFIUS approval for an acquisition of US petroleum energy production facilities.
Litigation experience includes preparation of pleadings and briefs in antitrust cases before federal and state courts and agencies.
Advises corporations, trade associations, and their political action committees on campaign finance law compliance.
Represented Universal Music Group before the Federal Trade Commission in its $1.9 billion acquisition of the recorded music business of EMI Music. After a Second Request and an extensive investigation, the FTC voted 5-0 to close its investigation without requiring divestitures or other remedies.
Significant pro bono representation of organizations promoting the arts and architectural preservation, including the Washington Area Lawyers for the Arts and The Science Museum of Virginia Foundation.
