Francois-Guilhem Vaissier

Practice Experience
François-Guilhem Vaissier is an associate in the Paris office's Energy, Infrastructure and Project Finance team. Before joining White & Case in January 2007, he worked for two years in a leading French law firm.
His practice mainly includes the private sector participation (PSP) and all aspects of the structuring and financing of infrastructure and industrial and energy projects (notably regarding hydrocarbons’ exploration/production and refining), as well as their corporate law specificities.
François-Guilhem Vaissier managed several large projects in France (railway projects, motorways, road tunnel, airport operation, co-generation plant, wind farms), Europe (underwater tunnel, water and wastewater concession), Africa (hydro-power plant and aluminum smelter project, coal-fired power plant, cement plant, motorway concession, mining concessions, free zone areas, oil production sharing agreements and privatization of a national air carrier), Asia (First Public Private Partnership for a metro project in India) and the Middle East (airport BOT, real estate financing). He gained significant practice in drafting project’s documentation relating to large transactions and in conducting legal due diligence.
Recent transactions include:
Advising Emerging Capital Partners and the Ivorian company CIPREL in connection with the financing of the expansion of a power plant to be carried out by CIPREL, in Ivory Coast. The project is carried out in two phases. Phase A of the project, of an amount of 50 billion FCFA, has been financed by BIAO Cote d'Ivoire, BOA Cote d'Ivoire, SIB Cote d'Ivoire, Orabank Benin and BGFI Cameroun to design and build an additional gas turbine engine with an aggregate capacity of 111MW/h. Phase B of the Project shall be financed by international lenders, including the International Finance Company, in an amount equal to €200 million to design and build a steam turbine with an aggregate capacity of 111 MW/h. Phase A reached closing in May 2012.
Advising the group of lenders, including AfDB, FMO, BOAD, BIDC, BMCE and AFC, for the financing, design, construction and operation of the Riviera Marcory toll bridge in Abidjan under a concession scheme. A Bouygues-led consortium was the successful bidder for the 30-year concession in 1999, but the financing never closed due to political events. At that time, White & Case LLP represented other lenders, including IFC and Proparco. The project finance structure was amended when the project resumed in 2008.
Before being called to the Paris Bar, François-Guilhem Vaissier worked eighteen months for the International Financial Institutions Representative Office of Suez, located in Washington, DC. As an analyst, he mainly counseled Suez’s subsidiaries Tractebel (Energy) and Ondeo (Water) and became very familiar with the World Bank Group (notably the International Finance Corporation and the International Centre for the Settlement of International Disputes), the International Monetary Fund and the Inter-American Development Bank’s working practices. Afterwards, he complemented his knowledge of the utilities and energy’s markets and practices by joining the team in charge of the industrial agreements at the refining/marketing department of Total (Oil & Gas), as in-house counsel for nine months.
