Derek A. Kurrant Partner
Derek Kurrant is a partner in our Calgary Tax Group. As a lawyer and a chartered accountant, he has practised exclusively in the area of taxation for over 20 years. His practice encompasses providing tax advice to public and private enterprises in respect of a wide variety of corporate and commercial transactions, including corporate reorganizations, mergers and acquisitions; structuring of public debt and equity offerings; the purchase and sale of businesses, and the use of partnerships, joint ventures and trusts.

Derek has significant experience providing tax structuring and transactional advice on various energy based projects and providing advice on taxation issues specific to businesses in the oil and gas and energy related sectors (including renewable energy and cleantech sectors). His practice also includes providing advice on international tax planning matters, including advising on tax effective cross-border acquisitions, divestitures and reorganizations; offshore tax structures; and tax planning for inbound investment into Canada by non-residents and outbound/offshore investment by Canadians.

Experience

Advising Corus Entertainment Inc. on its CAD$550 million high-yield offering of 4.25% senior unsecured guaranteed notes, one of the largest public offerings of non-investment grade debt completed in Canada to date. The notes are due 2020 and were publicly offered in Canada under Corus’ shelf prospectus and in the U.S. pursuant to Rule 144A by a syndicate of underwriters co-lead by TD Securities Inc. and BMO Nesbitt Burns Inc., as joint bookrunners, and included RBC Dominion Securities Inc., Scotia Capital Inc., CIBC World Markets Inc. and National Bank Financial Inc.
Counsel to National Oilwell Varco, Inc. subsidiary NOV Distribution Services ULC with respect to its $240 million acquisition of CE Franklin
Counsel to BP Canada in connection with its US$1.67 billion agreement to sell its Canadian natural gas liquids business to Plains Midstream Canada
Advised sovereign controlled E&P company on its acquisition of an interest in undeveloped oilsands properties and the creation of a partnership to develop those properties
Advised private company with respect to structuring of its interest in oilsands properties
Canadian counsel to BP Canada in respect of oilsands transactions, including Devon Canada and Apache transactions, exceeding $3 billion in 2010
Counsel to Capital Power Corporation on acquisition of Island Co-Generation Power facility
Canadian counsel to Hunting PLC on the $1.26 billion sale of its subsidiary Gibson Energy Holdings Inc. and its subsidiaries to Riverstone/Carlyle Global Energy and Power Fund
Advised Pogo Producing Co. of Houston, Texas, on its US$2 billion sale of its Calgary-based oil and gas company, Northrock Resources Ltd., to Abu Dhabi National Energy Co. (TAQA)
Counsel to HRT Participações em Petróleo S.A. on its $700 million acquisition of UNX Energy Corp. by way of plan of arrangement and issuance by HRT of listed global depositary shares in consideration therefor
Counsel to the underwriters on an $86 million bought deal equity financing of common shares by Parkland Fuel Corporation
