Biography

Mr. Bauer is a partner in the Corporate Department in New York, practicing in the Intellectual Property and Technology Transactions Group. He advises clients on a wide range of intellectual property and technology-related corporate and commercial transactions, including licensing agreements, research and development agreements, collaboration agreements and other strategic commercial agreements. He also advises on the intellectual property and technology-related aspects of mergers and acquisitions, joint ventures, financings and restructurings and capital markets offerings. With a bioscience-related Ph.D., he has a particular focus on meeting the intellectual property and transactional needs of clients in the pharmaceutical and biotechnology industry, and regularly advises clients in a variety of other industries, such as information technology, media and financial services.

With respect to his life sciences practice, Mr. Bauer regularly advises pharmaceutical and biotechnology clients on a range of transactional matters, including complex licensing arrangements, product and intellectual property acquisition agreements, research and development collaborations, commercialization agreements, marketing and co-promotion agreements and supply and distribution arrangements. He has significant experience with respect to transactions related to small molecule pharmaceuticals, biologics, cellular therapies, gene therapy, diagnostics and medical devices, both within the United States as well as in other major markets such as Europe, Asia and South America.

Mr. Bauer also has extensive experience advising a variety of clients on a range of other types of technology transactions, including patent acquisition and cross-licensing agreements, software and hardware development and licensing arrangements, product manufacturing and distribution agreements, outsourcing and services agreements, and data and content licensing agreements.

The New York State Bar Association (NYSBA) is a voluntary bar association for the state of New York. NYSBA was founded in 1877 with the stated goal to cultivate the science of jurisprudence; to promote reform in the law; to facilitate the administration of justice, and to elevate the standards of integrity, honor, professional skill, and courtesy in the legal profession. Its first President was David B. Hill. Among the reforms in the legislation signed into law creating the association was the removal of the restrictions on the admission of women to the practice of law. In 1896, NYSBA proposed the first global means for settling disputes among nations, what is now called the Permanent Court of Arbitration in The Hague.

The Fordham Law Review is a scholarly journal serving the legal profession and the public by discussing current legal issues. Each volume comprises six books, three each semester, totaling over 3,000 pages. Managed by a board of eighteen student editors, the Law Review is a working journal, not merely an honor society. The federal courts of appeals are the intermediate appellate courts between the district (trial) courts and the Supreme Court of the United States. There are thirteen courts of appeals: eleven numbered circuits (First through Eleventh), the District of Columbia Circuit, and the Federal Circuit.
