Jones Day David P. Longstaff Partner Education The College of Law, Guildford (Law Society Finals 1983); Reading University (LL.B. 1981) Bar Admissions Solicitor of the: Senior Courts of England and Wales, Supreme Court of Singapore, and High Court of Hong Kong David Longstaff has been advising clients on M&A and private equity transactions throughout Asia for more than 20 years. His experience includes a wide range of complex cross-border transactions in a variety of industries. David's practice encompasses international investments, mergers and acquisitions, joint ventures, capital markets, private equity, venture capital, employment, and other corporate and financial transactions. David has advised numerous financial institutions and multinational companies on cross-border transactions, including Anglo-Chinese, CLSA, Hanson PLC, Hermes, HSBC, Hutchison, Korea Electric Power, MUI, PCCW, PCRD, Shell, Sherwin-Williams, Standard Chartered, Suez Energy, Sumitomo, Tanjong Plc, and Tomen. His venture capital clients include Baring Private Equity Partners, JAIC Asia Capital, and Pacific Century Ventures. Recent representative transactions include advising a consortium comprising of Petronas, ConocoPhillips, Singapore Petroleum, and Talisman Energy on a US$600 million investment in the South Sumatra to Singapore gas pipeline (the first participation by the private sector in the Indonesian gas transportation sector); Singapore Petroleum on its acquisition from El Paso of a 40 percent non-operated interest in the Sampang PSC; PCRD on its issue of an aggregate of US$350 million exchangeable bonds; Tanjong Plc on its US$528 million acquisition of CDC Group's portfolio of power generation assets in Egypt, Bangladesh, Pakistan, and Sri Lanka; and a consortium led by Suez Energy International and Korea Electric Power on their bid for the Philippine assets of Mirant Corporation comprising Mirant Sual, Mirant Pagbilao, and KEPCO Ilijian. Experience Arcadian Partners launches Teak Tree Investments to invest in Philippine provincial banks Jones Day represented Arcadian Partners, a socially motivated venture focused on building the capacity of rural retail banks in Southeast Asia, in connection with the launch of Teak Tree Investments. J.F. Lehman portfolio company acquires maritime interests of Chemring Marine Jones Day advised long-standing client J.F. Lehman & Company, a leading mid-market private equity firm focused on the defense, aerospace, and maritime sectors, in connection with the £32 million (US$50 million) acquisition and related financing by portfolio company Drew Marine of the maritime interests of Chemring Group PLC, a designer, manufacturer, and seller of counter-improvised explosive device (IED) equipment, countermeasures, pyrotechnics, and munitions. MediaTek to merge with MStar Semiconductor for 115 billion New Taiwan Dollars (US$3.83 billion) Jones Day is representing MediaTek Inc., a fabless semiconductor company for wireless communications and digital multimedia solutions, in its tender offer to acquire up to 48% of MStar Semiconductor, Inc. for 115 billion New Taiwan Dollars (US$3.83 billion). Mitsubishi sells 3.4% interest in Strand Minerals (Indonesia) to Pacific Metals Jones Day advised Mitsubishi Corporation (TSE-listed) ("Mitsubishi") in the sale of a 3.4% interest (out of its 33.4% stake) in Strand Minerals (Indonesia) Pte Ltd. ("Strand") to Pacific Metals Co., Ltd. (TSE-listed) ("Pamco"). RHJ International sells its 77.9% ownership of Niles Co. to Valeo for ¥15.4 billion (€135 million) Jones Day advised RHJ International SA in its sale of its 77.9% interest in Niles Co., Ltd., a Japanese auto parts manufacturer, to Valeo SA, a worldwide leader in the interior controls market, for a total cash consideration of ¥15.4 billion (€135 million). Coherent acquires Hypertronics Jones Day advised Coherent, Inc. in its acquisition of substantially all of the assets of Hypertronics Ptd Ltd. and Hypertronics Technology Sdn Bhd, manufacturers of laser systems for flat panel, storage, semiconductor and biomedical applications in Singapore and Malaysia. Weir Group acquires Linatex Consolidated Holdings Jones Day advised The Weir Group PLC, a British engineering company headquartered in Glasgow, Scotland, in connection with its $200 million acquisition of Linatex Consolidated Holdings Limited, a global provider of wear-resistant products to the mining industry, from Navis Capital. Pacific Petroleum acquires BP Southwest Pacific Jones Day advised Pacific Petroleum Company SA in its acquisition of British Petroleum South West Pacific, including BP's downstream business and assets in eight different Pacific jurisdictions. PT Bumi Resources closes loan with China Investment Corporation Jones Day advised PT Bumi Resources Tbk, the largest coal mining company in Indonesia ("Bumi Resources"), in a US $1.9 billion, six-year loan from China Investment Corporation Limited, acting through a subsidiary. PT Pertamina (Persero) acquires BP West Java Limited for $280 million Jones Day assisted PT Pertamina (Persero), an Indonesian state-owned oil and gas company, with the $280 million acquisition of BP West Java Limited ("BPWJ") from BP plc. Mitsubishi Corporation agrees to acquire 33.4% of Strand Minerals (Indonesia) Pte Ltd from ERAMET Jones Day advised Mitsubishi Corporation in its $145 million acquisition of a 33.4% ownership interest in the Singaporean company Strand Minerals (Indonesia) Pte Ltd. (part of the ERAMET group), which owns 90% of PT Weda Bay Nickel, the remaining 10% being held by Indonesian partner Antam. OM Group acquires electronics business of Rockwood Holdings for $315 million Jones Day advised OM Group, Inc., in its $315 million acquisition of the electronics business of Rockwood Holdings, Inc., excluding its French entity. Tanjong Public Limited acquires CDC Globeleq Holdings for $528 million Jones Day advised Tanjong Public Limited Company in the $528 million acquisition by its 55%-owned subsidiary, Pendekar Energy Ltd (PEL), of CDC Globeleq Holdings Limited, a subsidiary of CDC Group plc, which owns seven power plants in Egypt, Bangladesh, Pakistan and Sri Lanka. MPS Group acquires Judd Farris Jones Day advised MPS Group, Inc., in its acquisition of Judd Farris Ltd. Altus Group issues $40 million of Senior Secured Notes and Warrants in Regulation S offering Jones Day represented Altus Group Ltd. in connection with $40 million of 11% Senior Secured Notes and Warrants in a Regulation S offering, placement agent Jefferies International Limited.
