Biography

David J. Weinberger, the immediate past co-chair of the Real Estate Department, has represented real estate lenders, investors and owners in connection with financings, acquisitions, sales and public offerings of equity and debt. He has developed extensive experience in the origination and securitization of complex mortgage and mezzanine loans.

David regularly represents major financial institutions and hedge and private equity funds, as well as borrowers, with respect to the origination of mortgage and mezzanine loans which are to be securitized in the CMBS markets or held as balance sheet loans. These loans, which involve properties across the U.S., the Caribbean and Latin America, often include preferred equity or participation components.

David also has extensive experience in the structuring of “A/B” loans. He has been involved in the origination of numerous large loans which were securitized in single-borrower transactions, as well as thousands of conduit loans. He often represents clients in connection with the origination of revolving and term credit facilities and repurchase facilities.

In addition, David has assisted clients in developing proprietary loan structures for commercial loans. His constant interaction with the rating agencies and "B-piece" buyers has enabled him to develop special insight as to the requirements of the securitization marketplace.

David also has extensive experience with REIT transactions. He has been involved in over 15 initial public offerings relating to REITs and has represented REITs in both the acquisition and disposition of numerous properties and portfolios. He also has been involved in numerous workouts of problem mortgages and mezzanine loans and is the chief author of “Proskauer Workout Primer: Issues to Address When Dealing with Mortgage Loans in Distress.”
