C3 Capital provides capital for businesses to finance later stage growth, strategic acquisitions, ownership transitions and recapitalizations. They make $5 million to $15 million investments in the form of subordinated debt or preferred equity in established businesses with a history of profitability. The firm focuses on chemicals, plastics, energy, business services, distribution and high value-added manufacturing. The firm does not consider early-stage investments, turnarounds, real estate investments, oil and gas exploration, financial institutions, businesses that involve a significant bet on the evolution of specific technologies or those with a high risk of becoming obsolete technology. Their geographic preference is the Midwest and the South, but they will consider other US locations. Investments are structured as subordinated debt with warrants or redeemable preferred equity with warrants. C3 Capital expects to receive detachable warrants with a put option and expects repayment in five years. Longer payouts on warrants may be considered.
